UNDER THESE TERMS (TO THE EXTENT PERMITTED BY LAW) YOU ARE AGREEING TO BINDING ARBITRATION AND A CLASS ACTION WAIVER, THAT REQUIRES US BOTH TO ARBITRATE ALL CLAIMS INSTEAD OF GOING TO A COURT BEFORE A JUDGE AND JURY, AND REQUIRES THAT ALL SUCH ARBITRATION CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS CLASS REPRESENTATIVE, CLASS MEMBER, OR OTHERWISE ON BEHALF OF OTHERS IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
Please read these rules before entering the sweepstakes (the “Sweepstakes”). By entering and participating in the Sweepstakes, you agree to be bound by these Official Rules and the terms of the applicable Sweepstakes Page and represent that you satisfy all of the eligibility requirements set forth below.
Sweepstakes may only be entered in or from the United States (including the District of Columbia) or the United Kingdom (England, Scotland, Wales and Northern Ireland only) and entries originating from any other jurisdiction are not eligible for entry.
How to Enter. During the Sweepstakes Period (defined below), entrants must view Sponsor’s Sweepstakes page (the “Sweepstakes Page”) and follow all directions for entry. If you choose to enter using your mobile device, standard data fees may apply. You should consult your wireless service provider's pricing plan for details. You agree to incur any and all charges demanded by your wireless carrier. You should also check your device's features for capabilities and check the device manual for specific use instructions.
By entering the Sweepstakes, entrants fully and unconditionally agree to be bound by these rules and the decisions of the Sponsor, which will be final and binding in all matters relating to the Sweepstakes. Sponsor is not responsible for lost, late, illegible, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Only fully completed entry forms are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email accounts, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification.
Sweepstakes Entry Start/End Dates. The Sweepstakes begins and ends during the “Sweepstakes Period” provided on Sponsor’s Sweepstakes Page.
Eligibility. Participation is open only to attendees of the Conference set forth on the Sweepstakes Page, who are, as of the date of entry, legal residents of the United States (including the District of Columbia), or the United Kingdom (England, Scotland, Wales and Northern Ireland only) and eighteen (18) years of age (or the age of majority in their jurisdiction) or older. Employees, officers, directors, representatives and agents of AuditBoard, Inc. (“Sponsor”), and their immediate family members (regardless of where they reside) and those living in the same household of each, are not eligible to participate or win a prize. The Sweepstakes is subject to all applicable federal, state, national and local laws and regulations and is void where prohibited by law.
Random Drawing. Winner(s) will be selected in a random drawing from all eligible entries on the date set forth on the Sweepstakes Page. Odds of winning depend on the number of eligible entries received for the drawing. Drawing will be conducted by Sponsor or an authorized representative of Sponsor.
Prize(s). All prize(s) and their approximate retail values are set forth on the Sweepstakes Page. Prize(s) is/are non-transferable. No substitutions or cash redemptions. In the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value. All taxes and unspecified expenses are the responsibility of winner(s).
Winner Notification. Potential winner(s) will be notified as set forth on the Sweepstakes Page, and may be required to sign and return, where legal, an Affidavit of Eligibility and Liability/Publicity Release within five (5) days of prize notification. If any winner cannot be contacted within five (5) calendar days of first notification attempt, if any prize or prize notification is returned as undeliverable, if any winner rejects his/her prize or in the event of noncompliance with these sweepstakes rules and requirements, such prize will be forfeited and an alternate winner may be selected from all remaining eligible entries. Upon prize forfeiture, no compensation will be given. The Prize will be delivered to the winner at the delivery address notified to Sponsor during the claim process. The Prize will be delivered within 30 (thirty) days of a valid claim from the winner, unless a later delivery date is agreed with the winner during the claim process.
Conditions. All federal, state, national and local taxes are the sole responsibility of the winner(s). Participation in Sweepstakes and acceptance of prize constitutes winner’s permission for Sponsor to use their name, address (city and state), likeness, photograph, picture, portrait, voice, biographical information and/or any statements made by winner regarding the Sweepstakes or Sponsor for advertising and promotional purposes without notice or additional compensation, except where prohibited by law. By participating, to the extent permitted by applicable law, entrants and winner(s)agree to release and hold harmless Sponsor, its affiliates, partners and promotion and advertising agencies and each of their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors (collectively, the “Released Entities”), from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in Sweepstakes, or possession, acceptance and/or use or misuse of prize or participation in any Sweepstakes-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. Sponsor is not responsible if Sweepstakes cannot take place or if the prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. Entrants who do not comply with these Official Rules, or attempt to interfere with this Sweepstakes in any way shall be disqualified. There is no purchase required to participate. A purchase does not increase odds of winning.
Additional Terms. In case of dispute as to the identity of any entrant, entry will be declared made by the authorized account holder of the email address submitted at time of entry. “Authorized Account Holder” is defined as the natural person who is assigned an email address by an Internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address. Any potential winner may be requested to provide Sponsor with proof that such winner is the authorized account holder of the email address associated with the winning entry. Any other attempted form of entry is prohibited; no automatic, programmed; robotic or similar means of entry are permitted. To the extent permitted by applicable law, the Released Entities are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one’s ability to enter the Sweepstakes, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this Sweepstakes or downloading any materials in this Sweepstakes. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Sweepstakes should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such case, Sponsor may select the winner(s) from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes or web site. Sponsor may prohibit an entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives.
CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
Limitation of Liability; Disclaimer of Warranties. IN NO EVENT WILL THE RELEASED ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND RELATING TO THE SWEEPSTAKES, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE SWEEPSTAKES. WITHOUT LIMITING THE FOREGOING, THIS SWEEPSTAKES AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.
UK entrants: (9a) Nothing in these Official Rules limits or excludes any person’s liability for death or personal injury caused by negligence, for fraud or for any matter for which liability cannot be lawfully limited or excluded; (9b) Subject to the foregoing sub-section (9a), by entering the Sweepstakes, each entrant (on their own behalf and on behalf of their executors, administrators, heirs, next of kin, successors and assigns) hereby releases and forever discharges, and agrees not to threaten or pursue any claim against, the Released Entities from and against: (i) any and all liability arising from the entrant’s death, disability, personal injury or actions of any kind which may occur during or in connection with the Sweepstakes (except to the extent caused by the negligence of the Released Entities); (ii) any other loss or damage the entrant may suffer or incur as a result of the entrant’s participation in the Sweepstakes and/or acceptance, possession, use or misuse of a prize (or any part); (9c) in particular, subject to the foregoing sub-section (9a), the Released Entities will not be liable for: (i) any loss or damage caused by a third party who is not acting on behalf of or under the direct instructions of the Released Entities; (ii) any loss or damage occurring as a result of the winner taking up and using any third-party product or service forming part of the prize (except where caused by the negligence of the Released Entities); (iii) any loss or damage caused by any event or circumstance beyond the reasonable control of the Released Entities; and (iv) any loss of profits or revenue, loss of anticipated savings or loss of goodwill.
BINDING ARBITRATION; CLASS ACTION WAIVER. As a condition of participating in this Sweepstakes, entrants agree that (to the extent permitted by applicable law) any and all disputes and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration administered by JAMS Mediation, Arbitration and ADR Services (“JAMS”) in accordance with the JAMS Streamlined Arbitration Rules and Procedures and held in Los Angeles, California.
THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF CALIFORNIA WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these official rules and/or in connection with the entering of any judgment on an arbitration award in connection with these official rules and/or the Sweepstakes, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the City of Los Angles in the State of California. The parties agree not to raise the defense of forum non conveniens.
UK entrants: Nothing in these Official Rules shall deprive any entrant who is a legal resident of the United Kingdom of any rights they may have under the mandatory laws of their home jurisdiction. Entrants who are legal residents of the United Kingdom shall be entitled to bring and defend claims in their home courts.
Use of Data. Sponsor will be collecting personal data about entrants online, in accordance with its privacy policy. Please review the Sponsor’s privacy policy at https://www.auditboard.com/privacy-policy/. By participating in the Sweepstakes, entrants hereby agree to Sponsor’s collection and usage of their personal information (including, without limitation, to be notified if selected to win) and acknowledge that they have read and accepted Sponsor’s privacy policy.
UK entrants: By entering the Sweepstakes, each entrant acknowledges that in the event of a win their surname and county of residence may be disclosed to persons enquiring, where permitted by law. Any winner may object to their information being made available in this way, or may request that the amount of information made available be reduced, by contacting Sponsor using the contact details at the end of these Official Rules. In these circumstances, the entrant acknowledges that Sponsor may nevertheless disclose the relevant information, and the entrant’s entry, to the UK Advertising Standards Authority (and/or any other competent authority) if required to do so. By way of example, this may happen where Sponsor is required to demonstrate that it has awarded the advertised prizes. To request disclosure of winner details, enquirers must submit a request to events@auditboard.com within one (1) month following the end of the Entry Period. Details will only be disclosed (if permitted by law) after the prizes have been awarded.
List of Winners/Winner's Name. To obtain a list of winners/the name of the winner, send a self-addressed, stamped envelope by the date set forth on the Sweepstakes Page, to AuditBoard, Inc., Prize Drawing, Attn: AuditBoard Marketing, 12900 Park Plaza Drive, Suite 200 Cerritos CA 90703. Requests must reference the dates of the Sweepstakes Period.
